Corporate Tax: January Year-Ends File by End of October
FTA nine-month rule: companies whose Tax Period ended 31 January 2026 file and pay on EmaraTax by end of October. Checklist for investors and agents.
Most Dubai property desks still talk about Corporate Tax as if every company closes the books on 31 December. Many brokerages, free-zone SPVs and developer subsidiaries do — and for those firms the Federal Tax Authority (FTA — الهيئة الاتحادية للضرائب) already printed a clear clock: file the return and pay any tax due by 30 September 2026 when the Tax Period ended on 31 December 2025. This morning’s paper is for the other calendar: companies whose Tax Period ended on 31 January 2026. Under the same nine-month rule, their EmaraTax filing lands at the end of October 2026. Orientation only — not personalised tax advice.
Primary: FTA — 30 September 2026 deadline for Tax Periods ended 31 December 2025 (26 September 2026), which restates the nine-month filing and payment rule for every Taxable Person. Filing mechanics: FTA Corporate Tax Guide CTGTXR1 — Tax Returns (November 2024), citing Article 53 of Federal Decree-Law No. 47 of 2022. Earlier FTA reminder of the same nine-month frame: FTA media centre — file within statutory timeframes (2 September 2026). We covered the December year-end / 30 September clock in File Corporate Tax by 30 September on EmaraTax.
First, the words
- Corporate Tax is the UAE federal tax on taxable business income under Federal Decree-Law No. 47 of 2022 (Tax Periods from 1 June 2023).
- Tax Period is the stretch of time for which a Tax Return must be filed. For a company (a juridical person), the FTA Tax Returns guide says that period is the entity’s Financial Year — either the Gregorian calendar year or the twelve-month period for which it prepares its Financial Statements.
- EmaraTax (إمارات تاكس) is the FTA’s digital platform for Corporate Tax registration, return filing and payment. The FTA says it is available around the clock.
- Small Business Relief (SBR) is an election that can treat eligible Resident Taxable Persons as having no Taxable Income for the period when revenue stays within the published threshold. The FTA has been explicit: relief simplifies the return; it does not remove the duty to file.
- Taxable Person is anyone the Corporate Tax Law treats as subject to Corporate Tax — including many free-zone residents and Qualifying Free Zone Persons, who still file even when some income is taxed at 0%.
What the FTA actually printed
On 26 September 2026 the FTA reminded Taxable Persons whose Taxable Period ended on 31 December 2025 to file their Tax Returns and pay Corporate Tax due no later than 30 September 2026. In the same note the Authority repeated the structural rule: Taxable Persons (including those eligible for Small Business Relief) must file and pay within a period not exceeding nine months from the end of each Tax Period. Exempt Persons who still must register file annual declarations within nine months of their financial year-end. Registration, filing and payment run through EmaraTax, directly or with an approved Tax Agent listed on the FTA site.
The FTA Tax Returns guide states the same clock in one sentence: a Taxable Person must submit a Tax Return and pay any Corporate Tax due to the FTA within 9 months of the end of its Tax Period (Article 53 of the Corporate Tax Law). That is a self-assessment process, filed online through EmaraTax.
How a January year-end reaches end of October
Apply the printed nine-month rule to a company whose Financial Year — and therefore Tax Period — ended on 31 January 2026. Nine months from that date land on 31 October 2026. That is not a separate FTA press release for January closers; it is the same statutory frame the Authority keeps restating for every Tax Period. Your EmaraTax account shows the Tax Period that was registered for your TRN — check that screen before you brief a client or an owner. A short first Tax Period after incorporation can shift the end date, so the personal deadline follows the period end printed in EmaraTax, not a market-wide rumour.
Practical desk habit for a brokerage or SPV on a January year-end: treat the last working days of October as the completion window for both the return and the payment clearing through the bank into EmaraTax. The FTA has also said filing and payment need not happen in the same click — you may file when the figures are final and pay later, provided both land by the deadline. Do not invent a safe harbour from a weekend; confirm any Business Day extension under the Tax Procedures Law with your adviser and against the live EmaraTax status.
Why it matters to an investor
Many foreign buyers hold Dubai stock through a UAE company — mainland or free zone — rather than in their personal name. That company has a Tax Period and an EmaraTax clock. If the SPV’s year-end is January, the September “everyone must file” headlines do not finish the job. Ask the director or tax agent which Tax Period EmaraTax shows, whether Small Business Relief was elected, and whether the return has already been submitted. Natural-person landlords who rent without a Licence sit on a different FTA track (see our note on natural-person real estate investment); once rent sits inside a licensed company, Corporate Tax filing is the company’s problem, not a personal “Dubai is tax-free” slogan.
Why it matters to an agent
Agency owners and operations managers often run on a non-calendar Financial Year because of a group parent, a free-zone formation date, or a first short Tax Period. Brief the finance lead with the FTA line, not a portal paraphrase: nine months from your Tax Period end, filed on EmaraTax, SBR still files. Pair the Corporate Tax calendar with the e-Invoicing appointment clock we flagged in FTA e-Invoicing: Appoint Your Provider by 30 October if your revenue band is in scope — same October month, different obligation. Free-zone status still needs a per-tax check after FTA TAXP010; a Designated Zone label for VAT is not automatic 0% Corporate Tax.
A short checklist before you file
- Open EmaraTax and confirm the Tax Period end date printed for your TRN.
- Count nine months from that end date — for a 31 January 2026 close, the ordinary landing is 31 October 2026.
- Decide filing versus payment sequence — both must clear by the deadline; they need not be the same action.
- If you elect Small Business Relief, still prepare and submit the simplified return on the same clock.
- Keep supporting records the FTA can use to verify revenue, taxable income and reliefs — the Authority’s September notes stress record-keeping next to the deadline itself.
- Do not confuse this with excise or VAT calendars — today’s Arabian Business newsletter also flagged an excise-return deadline; that is a different tax, a different form, and a different desk.
What we did not claim
We have not invented a new FTA circular dated 14 October 2026 for January year-ends, a fixed AED late-filing fine, or a guaranteed weekend extension. The nine-month duty, the EmaraTax channel, the SBR filing duty, and the worked December 2025 → 30 September 2026 example are taken from the FTA’s own September 2026 media notes and the Tax Returns guide. The January → end-October landing is the arithmetic of that same rule applied to a 31 January 2026 Tax Period end. Confirm your TRN’s period end and any Business Day rules with EmaraTax and a UAE-qualified tax adviser before you file or pay.
